Governance and business ethics

As part of Anglo American plc, Tarmac integrates leading international corporate governance standards across the business and we conduct all our operations in a transparent and accountable way.
Our governance structure
The chief executive officers (CEOs) of Tarmac and Tarmac Building Products report into the head of Anglo American’s Other Mining and Industrial (OMI) division. Tarmac’s Middle East business forms part of this business structure and reports into the CEO of Tarmac’s UK business.
The CEOs have formal responsibility for Tarmac’s sustainability strategy, CO2 emissions management, policies and performance, and take guidance from the Head of Anglo American’s OMI division (an executive officer of the company), to ensure that Tarmac’s sustainability strategy supports and complements that of Anglo American. The performance of all senior executive officers is assessed and compensated against a range of issues, including financial factors and safety performance.

Sustainability governance
The director of sustainability at Tarmac is responsible for creating and embedding the Sustainability Framework, developing sustainability policies and commitments and driving these forward within Tarmac, with support from Tarmac’s CEO and board. His pivotal role involves promoting common understanding and ensuring sustainability policies are implemented across Tarmac operations.
During 2011, the director of sustainability reported into the Tarmac board via the Group HR director. Sustainability issues and performance are reviewed at monthly board meetings. The head of Safety, Health and Environment for Tarmac Building Products, with support from the CEO of Tarmac Building Products and the board, has responsibility for leading sustainability improvement programmes within that business stream, consistent with our overarching policies. Tarmac and Tarmac Building Products both operate a number of internal sustainability groups that help steer specific aspects of their sustainability programmes.
